UPMC to buy Catholic-based Trinity Health System from CommonSpirit
The University of Pittsburgh Medical Center (UPMC) announced Monday that it is set to take over Trinity Health System—an Ohio-based Catholic healthcare company—from its current owner CommonSpirit Health.
In a statement, UPMC said it has entered into a “definitive agreement” to acquire Trinity West, Trinity East, Trinity St. Clairsville Neighborhood Hospital, Trinity Twin City Medical Center—and all clinics associated with the lot.
The transaction, if finalized and approved by regulators, would allow UPMC to expand into Ohio, where it currently has virtually no presence. Currently, the academic health system has more than 40 hospitals primarily in Pennsylvania, with locations in Virginia, Maryland and New York.
In total, UPMC has over 800 care sites and over 100,000 people on staff.
It also operates a massive health plan with 3.8 million members, including its employees.
Trinity serves a patient population of some 200,000 people at its four hospitals. However, CommonSpirit—which also identifies as Catholic—is one of the largest nonprofit health systems in the U.S., operating more than 142 hospitals in 21 states.
It’s been divesting of some of its assets in the last couple of years, and was openly seeking a buyer for Trinity.

Many details remain unknown
In joining UPMC, Trinity said the values of its faith-based mission will continue—though it isn’t clear if the official Catholic affiliation and name will be maintained once the transaction is complete.
Those details and others—including how the new Trinity will be structured—are expected to be ironed out and revealed as the deal progresses, the two organizations said.
"Trinity Health System and UPMC share a commitment to providing top-tier care and serving the most vulnerable members of our community,” Dwayne Richardson, interim president of Trinity Health System, said. "UPMC's proven track record of community service and compassionate approach to care were key factors in our decision, and will significantly benefit our patients."
The terms of the agreement are expected to be finalized in Fall 2026. Financial conditions were not revealed.
